These Terms of Service ("Terms") govern your access to and use of the LLastMile websites, applications, products, and services, including LMPlatform, LMAgent, and related offerings (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

Eligibility and Authority

You may use the Services only if you can form a binding contract with us and are authorized to do so. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

Accounts

You are responsible for:

  • providing accurate registration information;
  • keeping account credentials secure;
  • all activity that occurs under your account; and
  • promptly notifying us of any unauthorized access or security incident involving your account.

Use of the Services

You may use the Services only in compliance with applicable law and these Terms. You may not:

  • use the Services to violate law or the rights of others;
  • upload or transmit malicious code, harmful content, or unauthorized data;
  • interfere with the operation, security, or integrity of the Services;
  • reverse engineer, copy, resell, or misuse the Services except as allowed by law or with our written permission; or
  • use the Services to build a competing product through unauthorized scraping or extraction.

Customer Content

You retain ownership of the content, data, prompts, files, and materials you submit to the Services ("Customer Content"). You grant us a limited right to host, process, transmit, store, and use Customer Content as necessary to provide, secure, support, and improve the Services.

You represent and warrant that you have all rights, permissions, and consents needed for Customer Content and your use of the Services.

AI-Generated Output

The Services may generate summaries, recommendations, or other outputs using artificial intelligence or automation. AI-generated output may be inaccurate, incomplete, or unsuitable for your situation, and it should be reviewed by a human before being relied upon for business, legal, financial, medical, employment, or other important decisions.

Fees and Billing

Some Services may require paid subscriptions or other fees. If you purchase paid Services, you agree to pay applicable charges, taxes, and fees, and you authorize our payment processors to charge your chosen payment method. Subscription terms, renewal timing, cancellation rights, and pricing may be described during checkout or in your order flow.

Intellectual Property

We and our licensors own the Services, including software, branding, design, and related intellectual property, except for Customer Content. These Terms do not grant you ownership of the Services or any rights beyond the limited right to use them in accordance with these Terms.

Suspension and Termination

We may suspend or terminate access to the Services if we reasonably believe:

  • you breached these Terms;
  • your use poses a security, legal, or operational risk; or
  • suspension is required to protect the Services, our users, or third parties.

You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LLASTMILE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

Changes to the Services or Terms

We may modify the Services or these Terms from time to time. If we make a material change, we may provide notice through the Services or by other reasonable means. By continuing to use the Services after the updated Terms take effect, you agree to the revised Terms.

Governing Law

These Terms are governed by the laws applicable in the jurisdiction specified in your applicable order form or, if none is specified, the jurisdiction in which LLastMile principally operates, excluding conflict-of-law principles where prohibited.
